Biography
Dr. Rajni has been involved in several crucial projects in diverse areas of law including real estate development and redevelopment projects, construction contracts, stamp duty and tax. She has extensive experience in representing Indian and foreign companies, including major multinational corporations, on regulatory approvals, foreign investments and collaborations, company law, joint ventures, mergers and acquisitions, and general corporate work, including corporate and business compliance, corporate governance, labour and employment laws, general commercial transactions and corporate litigation. She has vast experience and expertise in negotiating and preparing project finance documents, structured banking transactions, and corporate and retail banking documentation. She advises clients on banking law, foreign direct investment policy, foreign exchange and securities laws (including FEMA and corporate law issues, FDI/ODI), commercial agreements and their negotiations, and complex legal opinions. Her work includes structuring corporate transactions in compliance with foreign exchange laws, advising on entry and exit strategies for foreign investors, acquisition of listed companies in compliance with Takeover Regulations, legal due diligence, and obtaining approvals and registrations from government and other authorities. Her capital markets experience includes domestic public and rights issues, overseas listings including GDR and FCCB issues and AIM listings, conducting legal due diligence, and drafting and negotiating related agreements and documentation.
